Terms of Service

1. Service Description

DboS CRM ("the Service") is a cloud-based customer relationship management platform operated by Developing Business Optimized Solutions ("DboS", "we", "us"). The Service is designed for roofing businesses and provides tools for lead management, contact management, quoting, pipeline tracking, task management, reporting, team collaboration, integrated telephony (voice calls, SMS/MMS messaging, voicemail, call recording), supplier integrations, and roof measurement reporting.

2. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials, including your password and any multi-factor authentication methods. You must notify us immediately if you become aware of any unauthorized access to your account. One person or organization may not maintain more than one free trial account.

3. Billing & Subscription

The Service is offered on a subscription basis with monthly and annual plans. Pricing is displayed on our website and may change with 30 days' notice. All fees are non-refundable except as required by law. A 14-day free trial is available for new accounts. If you do not subscribe before your trial ends, your account will be restricted to billing and profile pages until a subscription is activated. You may cancel your subscription at any time; access continues until the end of the current billing period.

4. Data Ownership

You retain full ownership of all data you enter into the Service ("Customer Data"), including contacts, leads, companies, quotes, activities, and any other business information. We do not sell, share, or use your Customer Data for advertising purposes. You may export your data at any time using the built-in export functionality. Upon account termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted.

5. Platform Administration & Data Access

DboS platform administrators may access customer account data for the purposes of providing customer support, troubleshooting technical issues, investigating potential abuse or policy violations, and improving the Service. All administrative access to customer data is logged in the system audit trail. We limit administrative access to authorized personnel and access is only performed when reasonably necessary for the purposes described above. We do not access customer data for marketing or sales purposes.

6. Acceptable Use

You agree not to use the Service to: store or transmit content that violates any applicable law; transmit malicious code, viruses, or harmful data; attempt to gain unauthorized access to other accounts or systems; interfere with or disrupt the Service or its infrastructure; use automated means to access the Service without our written permission; or resell, redistribute, or sublicense the Service without authorization.

7. Telephony & Messaging Terms

The Service includes optional integrated telephony features powered by Twilio, including voice calling, SMS/MMS messaging, voicemail, call recording, transcription, and phone number provisioning. These features are available as a paid add-on to your subscription.

Program Name: DboS CRM Business Messaging. Messages are sent by registered roofing businesses to their customers and leads for operational business communications: appointment scheduling and reminders, estimate and quote follow-ups, project status updates, service scheduling confirmations, and customer service responses. All messages are transactional and conversational — no marketing or promotional blasts are sent.

Permitted Use: You may use the telephony features only for legitimate business communications with your customers, leads, and business contacts. Messages must be transactional or conversational in nature — such as appointment scheduling, estimate follow-ups, project status updates, and customer service. You may not use the Service to send unsolicited marketing messages, bulk promotional campaigns, spam, or messages to recipients who have not provided their phone number to your business.

Consent & Compliance: You are solely responsible for obtaining proper consent from end users before sending text messages or recording calls. You must comply with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state laws regarding call recording consent. You agree to honor opt-out requests immediately and maintain records of consent. Consent may be obtained via verbal agreement (in-person or phone), online contact forms, email exchange, or text-in keyword (START).

Message Frequency: Message frequency varies based on business interactions. End users typically receive 1–10 messages per month depending on active projects, appointments, and service requests. Message and data rates may apply.

Opt-Out: End users may opt out at any time by replying STOP to any message. Other accepted opt-out keywords: STOP, UNSUBSCRIBE, CANCEL, END, QUIT. Upon opting out, no further messages will be sent. The system automatically blocks all outbound SMS to opted-out numbers.

Prohibited Content: You may not send messages containing content that is illegal, fraudulent, deceptive, threatening, harassing, defamatory, or otherwise objectionable. You may not use the telephony features to impersonate another person or business, send phishing messages, or transmit malware.

Phone Numbers: Phone numbers provisioned through the Service remain the property of the underlying carrier. Upon termination of your telephony subscription, provisioned numbers will be released after a 30-day grace period. Number porting requests are subject to carrier approval and processing timelines outside our control.

Usage & Billing: Telephony usage (calls, messages, recordings) is tracked and billed according to your subscription plan. Usage beyond your plan limits may incur additional charges. We reserve the right to suspend telephony features if we detect abuse, excessive volume inconsistent with normal business use, or violations of carrier policies.

Call Recording: If you enable call recording, you are responsible for providing appropriate notice and obtaining consent from all parties on the call as required by applicable law. We are not liable for your failure to comply with call recording consent requirements.

8. Third-Party Integrations

The Service integrates with third-party services including Twilio (telephony), Stripe (payments), ABC Supply (supplier product catalog and pricing), Google Solar API (roof measurements), and others. These integrations are provided on an "as available" basis and may be subject to the third party's own terms, availability, and pricing. We are not responsible for outages, changes, or discontinuation of third-party services. Credentials you provide for third-party integrations (such as ABC Supply API keys) are encrypted at rest but you are responsible for maintaining the security of those credentials at the source.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.

10. Termination

Either party may terminate the account at any time. You may cancel your subscription and delete your account through the Service settings. We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or fail to pay applicable fees after reasonable notice. Upon termination, your right to use the Service ceases immediately, though we will retain your data for 30 days as described in Section 4.

11. Limitation of Liability

To the maximum extent permitted by law, DboS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
